Foreign Qualification in West Virginia: Agent for Service of Process Requirements

When a business formed outside West Virginia conducts operations within the state, the Secretary of State classifies it as a "foreign" entity. Before it transacts business here, it applies for a Certificate of Authority; for an LLC that means Form LLF-1 and a $150 state fee. West Virginia lets a foreign LLC name an agent for service of process on that application, and while the statute says the company "may" keep one rather than must, an agent is how lawsuits and legal notices reach a person instead of a mailbox.

Defining "Foreign" in West Virginia

"Foreign" carries no overseas meaning on its own in this setting. West Virginia's Secretary of State uses the word for a company organized under the law of some other state or nation. A Delaware LLC operating in West Virginia is foreign. A Virginia corporation with West Virginia employees is foreign. The classification triggers registration obligations.

When Foreign Qualification Applies

West Virginia's LLC Act doesn't define "transacting business" in a sentence. Section 31B-10-1003 lists what doesn't count instead:

• Suing, being sued, or settling a case or other proceeding
• Internal company business, including gatherings of members or managers
• Holding bank accounts
• Keeping offices, agencies, trustees or depositories for the LLC's own securities and their transfer or registration
• Selling via independent contractors
• Taking orders by mail, through staff or agents, or any other way, when each order needs acceptance outside West Virginia before it is a contract
• Taking on debt or creating mortgages and liens on real or personal property
• Debt collection or securing a debt, enforcing a mortgage or lien that backs it, and maintaining whatever property comes from that
• One isolated deal that wraps up within 30 days and isn't part of a series of similar deals
• Commerce between states
• Registering for withholding tax on a West Virginia resident who works for the company in another state
• Owning stock in a corporation authorized here, as long as the LLC itself doesn't produce goods or services or otherwise do business in West Virginia

Watch for the exception: if your LLC owns real estate or tangible personal property here that produces income, the statute treats that ownership as transacting business. The list also doesn't decide whether the state can tax, regulate or serve your company. If your activities stay on the list, the Secretary of State offers an Application for Exemption from Certificate of Authority for $25, and without either an exemption or a certificate you can't get a West Virginia business license, workers' compensation or unemployment coverage. The Agent Requirement for Foreign Entities

The Certificate of Authority application asks for an agent for service of process "if any," and Section 31B-1-108 says a foreign LLC authorized here "may" keep one. When it has one, the agent:

• Accepts any process, notice or demand that may legally be served on your LLC
• Fits one of four categories: an individual whose home is in West Virginia, a corporation formed under West Virginia law, a separate LLC, or a non-West Virginia corporation or company with authority to do business here

Without an agent, or when the agent can't be found, the Secretary of State takes service for the company and mails the papers by certified mail to the principal office address on file. Correspondence from the Secretary of State goes to that principal office as well, and annual report notices go to the email address on your application. Agent and address changes are filed on Form AAO ($15).

If an LLC transacts business in West Virginia with no Certificate of Authority, it can't keep a lawsuit or other proceeding going in the state's courts until it obtains one, and it is treated as having appointed the Secretary of State to receive service on claims that grow out of that business. The attorney general may also sue to restrain it. Contracts it signed remain in force, defending a suit is still open to it, and its members and managers don't lose their liability protection over it.

Foreign Qualification Process

1. Request a home-state certificate. Your home state's filing office issues a Certificate of Existence, sometimes titled a certificate of good standing. Form LLF-1 wants one dated during the current tax year, sent in with the application.

2. Check your name. It must carry an LLC ending such as "limited liability company" or "LLC" and be distinguishable from names on file. If your home-state name isn't available, you register a "forced DBA" name for use in West Virginia and attach a letter of resolution from your members or managers adopting it.

3. Decide on an agent for service of process. Naming one is your choice. If you do, it has to fit one of the four kinds described above.

4. File the application through the West Virginia One Stop Business Portal, or on paper with the Secretary of State. Form LLF-1, the Application for Certificate of Authority of Limited Liability Company, costs $150, plus a $1.00 processing fee online. It asks for your principal office, the names and addresses of all members or all managers, your purpose, an email address, and your agent if you have one.

5. Receive approval. Standard handling is 5 to 10 business days. Faster service costs extra: $25 for next business day, $250 for two hours, or $500 for one hour.

6. Fulfill ongoing obligations. Foreign LLCs file the same annual report as domestic ones, sometime from January 1 through June 30 in every year after the year you registered, for $25 ($1 more online). A report received after June 30 costs $75, which includes a $50 late fee. Starting July 1, 2026, an LLC with five straight years of timely reports may elect a $50 biennial report instead. A report that's more than 60 days late is grounds for revoking the certificate, though the state must send notice at least 60 days ahead. Register with the State Tax Department as well (the business registration certificate is $30). Withdrawing later costs $25.
